Terms of Service
1. Who we are and what Fillfleet does
Fillfleet (“Fillfleet”, “we”, “us”) is based in Chicago, Illinois. Fillfleet is a driver placement service. Recruiting agencies hand us CDL drivers they could not seat, we place those drivers with carriers that are hiring, we run every step of the process, and we pay the agency as the driver starts and stays.
Fillfleet is a broker between agencies and carriers. Fillfleet does not employ drivers, is not a staffing agency for drivers, and is not a party to any employment relationship between a driver and a carrier. Hiring decisions, pay, equipment and working conditions are the carrier's alone.
2. Accounts
- You must be at least 18 and able to enter a contract to open an account.
- Give us accurate information about yourself and your company, and keep it current.
- Keep your password private and turn on two-step sign-in when offered. You are responsible for what happens under your account. Tell us at once if you think someone else has used it.
- One account belongs to one person. Invite teammates through the service instead of sharing a login.
- We review every new agency and carrier before switching the account on. We may decline or remove an organization at our discretion.
3. Agencies
When you submit a driver to Fillfleet you confirm that:
- The driver knows you are submitting them for placement and has agreed to it. Fillfleet will confirm that consent with the driver directly and will not move a driver who declines.
- Everything you tell us about the driver is accurate to your knowledge, and every document you upload belongs to that driver and was obtained lawfully.
- You will not submit a driver who is already in process with the carrier through another route. Carriers can dispute a duplicate, and an upheld dispute cancels any payment for that placement.
- Within twelve months of meeting a carrier through Fillfleet, you will not place drivers with that carrier around Fillfleet. That is how the service stays free for you to use.
Fillfleet pays you for a placement as described in your agency agreement: a first payment two weeks after the driver starts, and a second payment four weeks after the start if the driver was still with the carrier at two weeks. Each payment is made after the carrier has paid Fillfleet for it. A payment for a mark the driver did not reach is not owed. A payment already made to you is not taken back. Fillfleet may hold a payment while a dispute is open.
4. Carriers
When you post a job order or accept a driver you confirm that:
- Your job orders are real openings and describe the pay, equipment, route and requirements accurately.
- You will respond to submitted drivers within the time promised on your profile, and you will tell us promptly and truthfully when a driver is hired, starts, or leaves.
- You will pay the placement fee set out in your carrier agreement with Fillfleet half when a placed driver starts and half fourteen days later if the driver is still with you, within the payment terms shown on each invoice.
- Within twelve months of receiving a driver from Fillfleet, you will not hire that driver, or any driver introduced to you through Fillfleet, around the service.
- If you believe a submitted driver was already in your system, you will raise the dispute within the window shown in the service and provide proof. Fillfleet decides disputes in good faith on the evidence.
5. Drivers
If you are a driver, an agency has asked Fillfleet to help place you. Fillfleet will confirm with you by text or email before anything moves. You can say no, and you can opt out at any time from the link we send you. Fillfleet shares your information with a carrier only to place you with that carrier, and never sells it. Fillfleet charges drivers nothing.
6. Fees and payment
The amounts Fillfleet charges carriers and pays agencies are set out in each party's separate agreement with Fillfleet, not in these terms. Invoices are due by the date printed on them. Fillfleet may suspend a carrier account with an overdue invoice and may charge interest allowed by Illinois law on late amounts. All amounts are in US dollars.
7. Acceptable use
Do not use Fillfleet to break the law, to harass anyone, to submit people without their knowledge, to scrape or copy the service, to probe or interfere with its security, or to misrepresent who you are or who you work for. We may suspend or close an account that does.
8. Your data and ours
Information you put into Fillfleet stays yours. You give Fillfleet permission to use it to run the service: to place drivers, to show carriers and agencies what they need to see, to send notifications, to prepare statements, and to keep records. How we handle personal information is described in our Privacy Policy.
What you learn about another party through Fillfleet, such as a carrier's open positions or an agency's drivers, is confidential. Use it only for the placement in front of you.
The Fillfleet name, logo, software and content belong to Fillfleet. You may not copy them or build a competing service from them.
9. Messages from Fillfleet
Fillfleet sends emails and text messages about your account and your placements. Drivers receive texts only after agreeing to them. Reply STOP to any text to stop receiving texts, or HELP for help. Message frequency varies and carrier message and data rates may apply.
10. What we do not promise
Fillfleet is provided as is. We work hard to keep it running and accurate, but we do not promise that it will always be available, that every driver will be placed, that any driver will stay, or that any carrier will pay on time. Fillfleet does not verify drivers' qualifications beyond the documents provided and does not make hiring decisions.
To the extent the law allows, Fillfleet is not liable for indirect, incidental or consequential losses, lost profits or lost business. Fillfleet's total liability to you for anything arising from the service is limited to the amounts you paid to Fillfleet, or Fillfleet paid to you, in the twelve months before the claim.
You agree to defend Fillfleet against claims that arise from your breach of these terms, from information you provided, or from your dealings with a driver, carrier or agency you met through the service.
11. Ending the relationship
You may close your account at any time by writing to us. We may suspend or close an account that breaks these terms, falls behind on payment, or puts other users at risk. Payments owed on placements already made survive closure, as do the confidentiality and non-circumvention promises above.
12. Law and disputes
These terms are governed by the laws of the State of Illinois. Any dispute that we cannot settle by talking will be brought in the state or federal courts located in Cook County, Illinois, and you agree to that venue.
13. Changes
We may update these terms as the service grows. When we make a material change we will post the new version here with a new date and tell account holders by email. Using the service after that date means you accept the new terms.
